Associate General Counsel - Regulatory Services,

Location: New York City, New Jersey, Canton, MA, or Wilmington, DE (Hybrid)

External: This is a hybrid position primarily based in New York, New York, Jersey City, New Jersey, Edison, New Jersey, Canton, MA, or Wilmington, Delaware. The Global Legal team supports Computershare to meet its strategic objectives by expertly managing legal risk and providing smart, commercial, effective, and efficient legal solutions. This role sits within the Global Legal Corporate function, which is accountable for the provision of specialist legal support to the Computershare group across a variety of areas of legal expertise, including Regulatory, Data Privacy, Employment Law, Litigation, Vendor Management and M&A.

A role you will love

The Associate General Counsel - Regulatory Services (the Associate GC) is responsible for providing expert legal advice, guidance and solutions on regulatory matters faced by Computershare in the United States and, as directed, in collaboration with legal counsel in other jurisdictions. This role reports to the Head of Corporate Regulatory Services US.

The Associate GC will serve as a strategic partner to all of Computershare's business lines in the United States (except for Computershare Loan Services) by providing best practice regulatory advice and government affairs and industry support, including coordinating, identifying, analysing, and disseminating regulatory issues impacting each business line and/or the regulated entities through which the various business lines may operate.

Key Responsibilities

The Associate GC will contribute to achieving both corporate and business unit strategic goals as a proactive member of the Corporate Legal team, working in close partnership with business executives and other personnel, legal stakeholders and other support functions.

Key accountabilities:

  • Take a leading role in managing regulatory matters and find solutions and strategies to limit / mitigate regulatory risks to the business and legal entities.
  • Collaborate with business unit and other Corporate Legal counsel with respect to regulatory matters.
  • Advise on complex regulatory matters (including cross-border as directed) in response to legislative, industry and policy developments. Advice includes entity level regulatory and licencing advice.
  • Advise on, draft, or maintain intercompany agreements, allocation of activities and people, royalty agreements and tax authorities/tax sharing agreements.
  • Advise on regulatory aspects of third-party outsourcing.
  • Advise on and support regulatory change management.
  • Provide support on a full range of legal matters relating to the regulatory aspects of mergers and acquisitions.
  • Assist the Corporate Secretary to Computershare Trust Company, National Association and Computershare Delaware Trust Company and on governance for those entities.
  • Develop regulatory policies and processes and productivity improvements to ensure efficiency.
  • Assist in, support, and strategize on the management of regulator relationships, and liaise with regulators as appropriate.
  • Monitor legal developments, such as new laws or regulatory guidance and provide analysis of same as needed to the business units and other corporate functions.
  • Track, advise on and assist in addressing emerging risks.
  • Responding promptly and reliably to internal requests for expert advice.

What will you bring to the role?

The Associate GC requires an experienced understanding of the legal and regulatory regimes within financial services and licencing arrangements. Further expert knowledge of state and federal laws and regulations pertaining to Computershare's businesses in the US, including, in particular, substantive experience in laws and regulations applicable to transfer agency, corporate trust, or broker-dealers, is a plus.

Additional requirements:
  • 15 years of general legal experience working within a reputable firm, ideally with in-house experience providing legal and compliance advice across a variety of legal issues and government or regulatory experience.
  • Law school graduate from an accredited law school and licensed to practice law in at least one state jurisdiction of the United States.
  • Experience in devising or implementing processes and controls designed to mitigate legal risk is advantageous.
  • Has a proven track record of developing and maintaining client / stakeholder relationships.
  • The role holder will be skilled at assessing and implementing controls.
  • The role holder will have a direct impact by being responsible for providing best practice regulatory advice in including coordinating, identifying, analysing, and disseminating regulatory issues impacting each business line and/or the regulated entities through which the various business lines may operate.
  • The role holder will be willing to be flexible to attend occasional global calls during after-office hours given the global nature of CPU's business.

Compensation. The typical base pay range for this role is $160,000 - $220,000. This base pay range is specific to these locations and may not be applicable to other locations: Jersey City, New Jersey, Edison, New Jersey | New York, New York | Wilmington, Delaware | Canton, Massachusetts. This range reflects our good faith effort to pay fairly based on our job evaluation of this role and we tailor our offers within the range based on the selected candidate's relevant knowledge, skills, experience, and other job-related factors.
