Key ResponsibilitiesThe Role:

The Contracts Manager's key purpose is to handle clinical agreements but is also required to handle general commercial and corporate agreements too.

The Contracts Manager works closely with stakeholders and will regularly liaise with Finance, Research, Development, HR, QA, Regulatory, Commercial, senior management etc, as well as third parties such as universities, service providers, external research collaborators.

Furthermore, the Contracts Manager plays a significant role in ensuring compliance with GDPR and healthcare compliance regulations in relevant jurisdictions, working with QA, IT, Commercial and others.

The Contracts Manager also works closely with Procurement, who own the start to finish process for contracts.

Responsibilities:

Contracts and Contracts Life Management System:

Develops, maintains and drafts company templates such as CDAs, MTAs, Consultancy Agreements, Service Agreements, Amendments, Statements of Work, etc.
Works closely with the internal client/contract owner to determine appropriate legal terms of contracts and negotiates these with counterparties.
Works with Director, IP to protect company's existing and arising intellectual property.
Identifies risks and issues, suggests alternatives that lead to the best solution.
Appropriately escalate risks associated with contracts.
Responds to enquiries regarding contract obligations.
Responsible for consultation and escalation to Director, Legal and Contract Management of issues as they arise.
Liaise with external legal counsel in the review and negotiation of high value / high complexity contracts.

Data Security, Privacy and Processing:

Implementation of contractual terms for contracts involving the transfer/processing/storage of personal or sensitive personal data.

Healthcare Compliance:

Draft, maintain and review agreements with Health Care Professionals (HCPs) (e.g. Consultancy Agreements, Advisory Board Agreements, Scientific Advisory Agreements and Speaker Agreements) for the Development, Commercial and Medical Affairs departments and confirm adherence to all international and/or local legislation, regulations, ABPI Code, and internal policies and standard operating procedures.
Draft and review charity sponsoring and sponsorship of non-promotional congresses.
Liaise with the Compliance team re healthcare compliance.
Stakeholder engagement. Liaise and build relationships with internal stakeholders across the US and UK up to and including senior executives in order to provide a professional service and support and ensure all contracts are stored in the Contracts Database.
Liaise with external legal counsel in the UK and US.
Support the General Counsel with any new projects as they arise.
Promotion of best practices and guidance.
Provide training across the company on contracts issues.

Qualifications:

Essential

Significant experience of preparing, negotiating, and finalising, in particular, confidentiality agreements, clinical trial agreements, informed consent forms and ancillary clinical agreements, with direct negotiation with clinical trial sites.
Significant experience of managing the preparation and contract negotiation process, including template development, documentation of contract template and revision, approvals, signature process etc.
Resolves complex contracts issues.
Experience within life sciences.
Work both independently and in a team-oriented collaborative environment.
Effectively prioritizes and executes tasks in a fast-paced environment.
Educational qualification to at least degree level.
Proven proactive business partnering & collaboration skills.
Proficiency in MS Office tools, outlook, Adobe, Docusign, general IT and database skills.
A life science degree in biology or similar science degree; or a law degree or post-graduate qualification or qualified paralegal.
Relevant contracts management experience, specifically in a biotechnology/pharmaceutical company and/or CRO; or law firm with life science or healthcare focus.

Desirable

Clear understanding of GDPR and similar data protection regulations.
Clear understanding of the ABPI Code and healthcare compliance.
