PacBio is seeking a highly experienced Manager, Stock Administration to report to the Director, Accounting. This role will be responsible for all aspects of the Company's equity plans, including but not limited to equity grants, option exercises, ESPP administration, China SAFE administration, and special projects for our Global Equity Plans. The ideal candidate will have a proven track record of successfully leading daily activities, educating employees on equity plans, managing international compliance, effectively communicating with internal and external stakeholders as well as identifying and implementing process and system improvements in a highly dynamic environment.

KEY RESPONSIBILITIES

  • Manage the daily administration of our stock plans globally including eligibility, enrollment, approvals, processing stock option and restricted stock unit and performance share unit awards, exercises and releases, tax withholdings, expirations, cancelations, repurchases, terminations, and other plan-related actions
  • Perform system administration of Shareworks
  • Partner with other functional leads (including in Legal, HR, Payroll, Accounting and Finance) to develop processes which ensure the accuracy of all equity data including all aspects of record-keeping, withholding, reporting, reconciliation, auditing and SEC form 4 reporting
  • Manage ESPP open enrollment processes, including education for employees, coordination with payroll and accounting teams, performing the purchases in Shareworks and manual calculations to ensure compliance with IRS limitations
  • Ensure proper taxation is applied to all equity exercises and releases
  • Manage Section 16 compliance in conjunction with legal and SEC reporting teams
  • Manage the reporting, reviewing, and tracking of 10b5-1 trading plans
  • Maintain share pool balances
  • Create stock reports as requested; assist with stock-related disclosures and with internal, external audits, annual proxy reporting, and ad hoc reporting and analysis related to stock matters
  • Ensure that all forms of equity compensation are administered following the terms and conditions of the plan(s) under which they are granted; enforce the insider trading policy and blackout windows
  • Maintain and update process documentation for equity plan procedures; manage the overall quarterly calendar of various stock administration related activities
  • Design and implement educational sessions, presentations, and communication materials for the global employee base to support understanding of equity programs and policies
  • Provide a superior level of customer service regarding stock plans and equity compensation to internal and external stakeholders
  • Manage Section 6039 tax filings and year-end statements related to ESPP distributions and stock option exercises
  • Recommend, develop, and lead efforts to improve and streamline the stock administration function, including system enhancements/implementations, as needed
  • Ensure compliance with mobility and international reporting from an equity perspective, including China
  • Ensure compliance with internal controls in accordance with SOX 404

EDUCATION & EXPERIENCE
  • Bachelor's degree with an emphasis in Finance, Accounting, Business Administration, or equivalent
  • CEP designation preferred
  • Minimum of 8 years of stock administration or relevant experience, at public companies
  • Strong experience with Shareworks by Morgan Stanley
  • Solid understanding of equity plans and various equity award types, including the related administration, accounting, and taxation in the U.S. and internationally
  • Proficiency in MS Office applications, particularly PowerPoint and Excel (pivot tables, vlookups, etc.)
  • Outstanding analytical, communication, mathematical, and organizational skills
  • Excellent business judgement, strategic thinking and ability to manage multiple priorities
  • Detail oriented with a high degree of accuracy
  • Ability to inspire action and coordinate simultaneous initiatives
  • Proven leadership skills with the ability to develop and mentor staff
  • Proven track record in driving projects and process improvement initiatives
  • Experience with global taxation related to equity compensation

Salary Range:
$138,200.00 - $187,000.00
