The Vice President & Assistant General Counsel provides broad support to the General Counsel, Business Development and Information Technology departments focused primarily on technology licensing and technology diligence, supporting the implementation of the development and acquisition of proprietary technology products. This person also provides support on data privacy and governance matters including negotiating contracts, advising on the Company's data licensing strategy, and other special project work. The position reports to the Deputy General Counsel.

Role and Responsibilities:

  • Execute on the Company's data licensing framework and strategy alongside its Business Development and IT groups. This involves the evaluation and implementation of new commercial real estate technologies and existing proprietary technologies offered by the Company.
  • Lead negotiations for complex technology related contracts and agreements including SaaS, software licensing and confidentiality .
  • Collaborate with business clients and in-house legal colleagues on creative solutions to complex privacy and data governance challenges.
  • Advise on requirements for collection and use of data in a variety of contexts and products, including new and emerging products and business models.
  • Review and advise on domestic data privacy issues, including the development of policies and procedures.
  • Ensure business teams are viewing the implications of contracts from an end-to-end perspective.
  • Balance business and contract goals against legal, business, policy and reputational risks.
  • Must be able to defend positions and views to business team members as well as counterparties.
  • Coordinate with other in-house counsel on issues and be able to work cooperatively as one member of a larger team.
  • Researches and analyzes relevant statutes, regulations, recorded judicial decisions, and legal articles.
  • Prepares and negotiates legal documents and positions, often in coordination with employees.
  • Manages external legal relationships with vendors, adverse parties, and other stakeholders.
  • Works with other members of the Legal team and executives to predict the needs of and support strategic initiatives.
  • Other duties as assigned.


Education and Experience
  • Juris Doctorate
  • 5+ years of legal experience, preferably in a corporate environment.


Knowledge, Skills and Abilities:
  • Experience in the data licensing, IP data governance and privacy space
  • Excellent attention to detail, judgment, flexibility, and dependability.
  • Strong business sense and ability to cooperate with business stakeholders.
  • Ability to prioritize work and find solutions to problems while prioritizing and managing deadlines.
  • Ability to work under pressure in a fast-paced environment.
  • Interest in or experience with real estate finance and/or corporate legal operations.
  • High level of interpersonal skills and maturity to handle sensitive and confidential information; position continually requires poise, tact, diplomacy, and initiative.
  • Ability to work as a part of a team while providing a strong individual contribution.
  • Proficiency in Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint.
  • Familiarity with contact management systems (e.g., Outlook, Salesforce and Box).
  • Ability to show ownership of work, take on challenges, acknowledge growth opportunities, and demonstrate patience when learning new processes.
  • Courtesy, respect, and thoughtfulness in teaming with colleagues and other stakeholders.
